Biometric Notice and Consent
This Notice and Consent for the Collection of Biometric Information (“Notice”) describes how Uare.ai, Inc. (“Uare.ai,” “we,” “us,” or “our”) collects and processes biometric information in connection with the Services we provide and supplements our Privacy Policy.
By providing your consent you acknowledge and agree that you have been provided with, and agree to be bound by the terms of this Notice.
1. Biometric Information
Biometric information is a form of personal information related to biometric characteristics which may be used to identify you. As used in this Notice, “Biometric Information” includes “biometric identifiers” or “biometric information” as defined under applicable law, as well as “sensitive personal information” as defined under applicable law. Our Services enable users to create, personalize, and interact with intelligent digital versions of themselves or fictional personas, which we call, Individual AI. When you upload photos, videos, voice samples, or other recordings through the Services to create, customize, or enhance your Individual AI, we may process certain Biometric Information, such as voiceprints derived from voice samples and facial geometry data derived from images or videos. When we reference Biometric Information in this Notice, we are referring to such personal information derived from the photos, videos, voice samples, or other recordings that you upload through the Services.
2. What Biometric Information Do We Collect?
When you upload photos, videos, voice samples, or other recordings through the Services to create, customize, or enhance your Individual AI, we collect and process the following categories of Biometric Information: voiceprints and voice embeddings derived from voice samples, facial geometry data and facial feature embeddings derived from images or videos, and related metadata we derive from such content.
For clarity, the Biometric Information described in this Notice is limited to voiceprints and facial geometry (and related embeddings and metadata) derived from photos, videos, voice samples, or other recordings that you upload. It does not include device or browser characteristics such as canvas, audio, or font “fingerprinting.” To the extent any such technologies are used, they are addressed in our Privacy Policy and Cookie Notice, not this Notice.
3. How Do We Use Your Biometric Information?
We use your Biometric Information solely to provide and enhance your experience within the Services, including to create, customize, and operate your Individual AI, generate your Individual AI’s avatar and voice configurations, enable voice-based interactions with your Individual AI, generate AI-powered content (such as text, images, audio, and video) through your Individual AI, and improve the accuracy and quality of your Individual AI’s representations.
4. Do We Share or Disclose Your Biometric Information?
We will only share your Biometric Information in the following circumstances:
As required with other third parties where permitted by law to (1) enforce our legal rights, (2) to comply with legal obligations, or (3) to cooperate with law enforcement agencies when required by a subpoena, warrant, or other court ordered legal action, or to prevent harm, loss, or injury to others.
To business transferees where permitted by law, such as acquirers and other relevant participants in business transactions (or negotiations for such transactions) involving a corporate divestiture, merger, consolidation, acquisition, reorganization, sale, in connection with a bankruptcy or similar proceedings, or other disposition of all or any portion of the business or assets of, or equity interests in, Uare.ai.
To our third-party service providers that perform functions on our behalf, including cloud infrastructure, AI processing, and hosting providers. Such service providers process your Biometric Information solely to assist in our provision of the Services and do not use such data to train their models or for the benefit of any other customers. All third-party service providers receiving Biometric Information are contractually required to maintain such information in a secure fashion and are prohibited from using it for any purpose other than assisting in our provision of the Services.
5. Do We Sell Your Biometric Information?
We do not sell, lease, trade, or otherwise profit from your Biometric Information. We will transfer your Biometric Information to third parties only as described in Section 4 of this Notice.
6. How Long Does Uare.ai Retain My Biometric Information?
Uare.ai will retain Biometric Information only until the occurrence of the first of the following: (a) The initial purpose for collecting or obtaining such Biometric Information has been satisfied; or (b) three (3) years following your last interaction with Uare.ai.
7. Can I Request that Uare.ai Delete My Biometric Information?
Yes. You may direct us to delete your Biometric Information at any time by contacting us at privacy@uare.ai. After successfully verifying your identity, we will delete your Biometric Information from our internal systems and notify our service providers to do the same. Please note that deletion of your Biometric Information may limit certain features of the Services available to you.
8. Can I refuse to provide my Biometric Information?
Yes. The collection of Biometric Information through the Services is only activated with your explicit permission. If you choose not to consent to the collection of your Biometric Information, you may still use other features of the Services that do not require the processing of voice samples or facial imagery. However, certain features that depend on biometric processing, such as voice-based interactions, avatar generation from your likeness, and other Individual AI personalization features, will not be available to you.
9. What Kind of Storage and Security Do You Use With My Biometric Information?
We are committed to protecting your Biometric Information. We use reasonable organizational, technical, and administrative measures designed to protect against unauthorized access, misuse, loss, alteration, disclosure, and destruction of your Biometric Information. Please note that no precautions are 100% guaranteed to be sufficient.
10. Device-Based Biometric Authentication (Mobile Applications)
Our mobile applications offer the option to use device-based biometric features (such as Face ID, Touch ID, or fingerprint recognition) to unlock the app on your device. This is distinct from the server-side processing of Biometric Information described in Sections 1 through 8 of this Notice.
When you enable device-based biometric authentication: (a) the biometric matching is performed entirely on your device by your device’s operating system (iOS or Android); (b) we do not collect, transmit, store, or have access to your facial geometry, fingerprint data, or any other biometric template used by your device for authentication; (c) we store only a local flag on your device indicating that biometric authentication is enabled; and (d) disabling biometric authentication on your device, or in our app’s settings, removes this functionality immediately and has no effect on Biometric Information described elsewhere in this Notice.
Because we do not collect or process the biometric data used for device-based authentication, this functionality is not subject to the consent, retention, or deletion provisions described in Sections 2 through 8 of this Notice.
11. Changes to this Notice
We reserve the right to modify this Notice at any time. If we make material changes to this Notice, we will notify you by updating the date of this Notice and posting it on the Services or on our website. We may, and if required by law will, provide notification of changes in another way that we believe is reasonably likely to reach you, such as through the Services.
Any modifications to this Notice will be effective upon our posting the new terms to our website and/or upon implementation of the new changes on the Services and on our website (or as otherwise indicated at the time of posting). In all cases, your continued use of the Services after the posting of any modified Notice indicates your acceptance of the terms of the modified Notice.
